Board of Directors

The Board of Directors has overall responsibility for the administration of Skarta and the proper organization of its operations. The Board oversees Skarta’s management, appoints and dismisses the CEO, and approves significant decisions concerning Skarta’s strategy, investments, organization, management compensation system and financing.

According to Skarta’s Articles of Association, its Board of Directors consists of a minimum of three and a maximum of seven ordinary members, whose term of office ends at the end of the Annual General Meeting following the election.

According to the independence evaluation of the Board of Directors, members of the Board of Directors are independent of the company, its operational management and its major shareholders that hold more than 10% of shares and votes in the company, with the exception of Markku Kankaala. Kankaala owns 21.2 percent of Andament Group Oy that is the largest shareholder of Skarta Group Plc with an ownership of 46.9%.

Markku Kankaala is an entrepreneur and active owner from North Ostrobothnia In July 2021, he started as Chair of the Board of Skarta Group Plc. Since 2020, he has been the CEO of PM Ruukki Oy. He is also the founder of Afarak Group Plc (formerly Ruukki Group Plc) and served as a Member of the Board of Directors from 1993 to 2017. He was a Board Member in Enersense International Oyj from 2020 to 2021. In addition, he has been on the Board of some 50 companies.

Through his company, Kankaala owns 21.2% of Andament Group Oy, the largest shareholder of Skarta Group Plc, which owns 135,151,794 shares of Skarta Group Plc. In addition, PM Ruukki Oy that is a company under Kankaala’s control owns 26,500 shares in Skarta Group.

Kim Wiio is the founder and owner of the investment company Mininvest Oy. He was elected to the Company’s Board of Directors in June 2019. Wiio has extensive experience in managing a profitably growing energy company and harnessing environmentally friendly forms of energy into business. From 2007 to 2018, Wiio was the CEO of the St1 Nordic Group and is currently a member of its Board of Directors and the second largest owner.

Mininvest Oy, a company under Wiio’s control, owns 26,465,559 shares of Skarta Group Plc.

Martti Haapala

Martti Haapala is the founder of Profin Oy and CEO of the investment company ProUp Oy. He was elected as a Member of the Board of Skarta Group Plc in July 2021. He has been an entrepreneur for more than 40 years, of which more than 30 years have been spent in international business and trade. He has participated in the Boards of Directors of more than 25 companies. Member of the Active Owners Group from 2020.

Oy Haapalandia Invest Ltd, company under Haapala’s control, owns 22,133,133 shares of Skarta Group Plc, and ProUp Oy, company under Haapala’s control, owns 521,509 shares.

Matti Manninen

Matti Manninen has more than 30 years of experience in leadership positions in the energy industry. He acted as the CEO of E.ON Finland Oyj (formerly Espoon Sähkö Oyj) 1993–2006, as the CEO of E.ON Suomi Oy 2006–2010 and as a Senior Advisor at Pöyry Management Consulting Oy 2010–2013. Today, Manninen is a board professional and management consultant to energy companies as CEO of Manpoint Oy. He has served on the Board of Directors of Skarta Group Plc since July 2021.

Jari Suominen

Jari Suominen has 40 years of international experience in the field of energy. From 1981 to 2007, he worked for ExxonMobil and from 2007 to 2019 for the St1 Group in various management positions related to fuels, electricity and heat production, responsible for St1’s renewable energy business in Finland, Sweden and Norway. Nowadays, Suominen is the advisor to the CEO of St1. He has served on the Board of Directors of Skarta Group Plc since July 2021.

Suominen owns 24,000 shares of Skarta Group Plc.
